A RESOLUTION REPEALING RESOLUTION NO. 2018-10 AUTHORIZING THE MAYOR OF THE VILLAGE OF ANTWERP, OHIO TO ENTER INTO A DONATION AGREEMENT WITH PAULDING COUNTY HOSPITAL FOR THE INSTALLATION OF A TEN-STATION FITNESS TRAIL AT RIVERSIDE VETERANS MEMORIAL PARK, AUTHORIZING THE MAYOR TO EXECUTE A LETTER OF INTENT FOR SAID DONATION, AND DECLARING THE SAME AN EMERGENCY

WHEREAS, the Council of the Village of Antwerp, Ohio, adopted Resolution No. 2018-10 by an emergency measure on December 10, 2018, and authorized the Mayor of the Village of Antwerp, Ohio to enter into a Donation Agreement with Paulding County Hospital for the installation of a ten-station fitness trail at Riverside Veterans Memorial Park; and

WHEREAS, the ten-station fitness trail has not been installed due to issues in obtaining the necessary materials; and

WHEREAS, the Donation Agreement identified in Resolution No. 2018-10 will be superseded by a new Donation Agreement in order to allow for a monetary donation in the amount of $10,000.00 from Paulding County Hospital to the Village of Antwerp, Ohio, said donation to be used for the following purposes: construction of a splash pad in Riverside Veterans Memorial Park, or construction of a fitness trail in Riverside Veterans Memorial Park; and

WHEREAS, a Letter of Intent on this donation has been presented by Paulding County Hospital to the Village of Antwerp, Ohio, that must be signed no later than October 1, 2021, and will be formalized into a formal agreement thereafter to replace the Donation Agreement referenced in Resolution No. 2018-10.

NOW, THEREFORE, BE IT RESOLVED by the Council of the Village of Antwerp, County of Paulding, State of Ohio:

Section 1. That Resolution No. 2018-10 is hereby repealed and the Donation Agreement referenced therein will be superseded by a new agreement that will formally set forth the terms of the donation.

Section 2. A Letter of Intent of the donation by Paulding County Hospital to the Village of Antwerp, Ohio, is attached hereto and marked as Exhibit A. The Mayor of the Village of Antwerp, Ohio is hereby authorized to execute the Letter of Intent on behalf of the Village of Antwerp for a $10,000.00 monetary donation to be used for the purposes expressed herein.

Section 3. It is found and determined that all formal actions of the Council concerning and relating to the passage of this Resolution were adopted in open meetings of this Council, and that all deliberations of the Council and of any of its committees that resulted in such formal action, were in meetings open to the public, in compliance with all legal requirements including all lawful ordinances and any applicable provisions of Section 121.22 of the Ohio Revised Code.

Section 4. This Resolution is hereby declared to be an emergency measure necessary for the immediate preservation of the public health, safety and welfare of the Village and for the further reason that the donation for the purposes expressed herein is beneficial to the well-being of the residents, and Resolution No. 2018-10 shall be repealed, and this Resolution shall be in full force and effect immediately after its passage; otherwise, it shall take effect and be in force from and after the earliest period allowed by law.
