A RESOLUTION AUTHORIZING THE MAYOR TO EXECUTE A LETTER OF INTENT WITH PAULDING COUNTY HOSPITAL FOR A DONATION TO THE SPLASH PAD PROJECT, AND DECLARING THE SAME AN EMERGENCY

WHEREAS, the Paulding County Hospital and the Village of Antwerp, Ohio (“Village”) entered into a Letter of Intent in 2021 for a $10,000.00 donation to be used for the construction of a splash pad or the construction of a fitness trail in Riverside Veterans Memorial Park to be paid either once the concrete has been poured for the splash pad or the supplies purchased for the fitness trial, and said offer was valid until December 31,2022; and

WHEREAS, the conditions for payment were not met and the offer expired, and the Paulding

County Hospital still intends to make a donation in the amount of $10,000.00 from the Paulding County Hospital to the Village, said donation to be used for the following purpose only: construction of a splash pad in Riverside Veterans Memorial Park, said donation to be made once the concrete has been poured for the splash pad, and the offer is valid until December 31 , 2023 ; and

WHEREAS, a Letter of Intent on this donation has been presented by the Paulding County Hospital to the Village that must be signed no later than June 1, 2023.

NOW, THEREFORE, BE IT RESOLVED by the Council of the Village of Antwerp, County of Paulding, State of Ohio:

Section 1. A Letter of Intent of the donation by the Paulding County Hospital to the Village of Antwerp, Ohio, is attached hereto and marked as Exhibit A. The Mayor is hereby authorized to execute the Letter of Intent on behalf of the Village of Antwerp for a $10,000.00 monetary donation to be used for the purpose expressed therein.

Section 3. It is found and determined that all formal actions of the Council concerning and relating to the passage of this Resolution were adopted in open meetings of this Council, and that all deliberations of the Council and of any of its committees that resulted in such formal action, were in meetings open to the public, in compliance with all legal requirements including all lawful ordinances and any applicable provisions of Section 121.22 of the Ohio Revised Code.

Section 4. This Resolution is hereby declared to be an emergency measure necessary for the immediate preservation of the public health, safety and welfare of the Village and for the further reason that the Letter of Intent for said donation must be signed and returned to the Paulding County Hospital no later than June 1, 2023, and this Resolution shall be in full force and effect immediately after its passage; otherwise, it shall take effect and be in force from and after the earliest period allowed by law.
